Terms and Conditions

Welcome to Val Build. These Terms and Conditions ("Terms") govern your access to and use of the Val Build cloud service ("Service"), provided by Val Build ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

Val Build is an open core cloud service that provides content management and development tools. The Service consists of:

• Open Source Package: Our MIT-licensed package that developers can use freely in their projects

• Cloud Service: Val Build's hosted platform that provides additional features, infrastructure, and services beyond the open source package

These Terms apply specifically to the Val Build cloud service. The open source package is separately licensed under the MIT License.

Our core package is licensed under the MIT License. The MIT License applies only to the open source package and not to the Val Build cloud service. You may use, modify, and distribute the open source package in accordance with the MIT License terms. The cloud service includes proprietary features and infrastructure not covered by the MIT License.

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration

• Maintain and promptly update your account information to keep it accurate and complete

• Maintain the security of your account credentials and accept all responsibility for activity under your account

• Notify us immediately of any unauthorized access or security breach

• Not share your account credentials with any third party

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights

• Upload, transmit, or distribute malicious code, viruses, or any harmful content

• Engage in any activity that disrupts, interferes with, or imposes an unreasonable burden on the Service infrastructure

• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems

• Use the Service to store or transmit illegal, infringing, defamatory, or harmful content

• Reverse engineer, decompile, or attempt to extract the source code of the proprietary cloud service components

• Resell or redistribute the Service without explicit written permission

You retain all ownership rights to the content and data you upload, store, or process through the Service ("User Content"). By using the Service, you grant us a limited license to:

• Store, process, and transmit your User Content solely for the purpose of providing the Service

• Create backups and derivative copies as necessary to provide the Service

You represent and warrant that you have all necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for your User Content and the consequences of uploading or publishing it.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of your information as described in our Privacy Policy. We implement reasonable security measures to protect your data, but we cannot guarantee absolute security.

Certain features of the Service may be offered on a paid subscription basis. If you subscribe to a paid plan:

• You agree to pay all fees according to the pricing and payment terms presented to you at the time of purchase

• Fees are non-refundable except as required by law or as explicitly stated in these Terms

• We may change our fees and pricing with advance notice to you

• You authorize us to charge your designated payment method on a recurring basis without further authorization

• You are responsible for providing accurate billing information and maintaining valid payment methods

We reserve the right to suspend or terminate your access to paid features if payment is not received or if your payment method fails.

The Service, including its proprietary features, design, trademarks, and trade dress (excluding the MIT-licensed open source package), are owned by Val Build and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or logos. The MIT-licensed package remains available under its separate open source license.

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times or will be error-free. We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may adversely affect your use of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAL BUILD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Val Build, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to access and use the Service will immediately cease

• We may delete your User Content, though we may retain certain data as required by law or for legitimate business purposes

• Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Val Build is established, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

Entire Agreement: These Terms constitute the entire agreement between you and Val Build regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
